  • Governing Law: This Agreement shall be governed by the laws of USA without regard to its conflict of law provisions.
  • Jurisdiction: For any disputes not subject to arbitration, you agree to submit to the personal jurisdiction of the state and federal courts located in USA.
  • Binding Arbitration: Any dispute will be settled by binding arbitration conducted by a recognized arbitration body in accordance with its consumer-related rules. The arbitration will be limited to the dispute between you and COM-PAD only and cannot be joined with other claims or arbitrated on a class-action basis.

16. MISCELLANEOUS

  • Entire Agreement: This Agreement, along with our Privacy Policy, constitutes the entire agreement between you and COM-PAD.
  • Severability: If any part of this Agreement is found to be unenforceable, that part will be removed or edited, and the remaining portions will remain in full force and effect.
  • Waiver: Any failure by us to enforce a provision of this Agreement is not a waiver of our right to do so later.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, such as acts of God, natural disasters, or civil unrest.
